The principal responsibility of the TP Director is to support the Global Head of Transfer Pricing and V.P.

Head of Tax in North America in developing and implementing the operational and tax and transfer pricing strategies that support the Group’s commercial operating model in a way which is consistent with legal and regulatory requirements around the world and with GSK’s corporate reputation.

A key objective of the role is to understand the changing transfer pricing environment and manage the transfer pricing risks across North America, managing questions raised by tax administrations, evaluating risks and opportunities, formulating and implementing transfer pricing policies around the world that meet the challenges of a complex and rapidly changing legal and regulatory environment and in accordance with GSK’s overall tax strategy thus ensuring that GSK manages its risk and delivers its forecast after-tax earnings.

Job Purpose and Key Responsibilities: The transfer pricing area is a focus area of taxing authorities around the world with increased emphasis and sophistication in reviewing, evaluation, challenging and imposing assessments.

Due to this focus, the role must emphasize job dimensions that focus on the defense of transfer pricing strategies, policies and practices.

This defensive focus requires strong business acumen, negotiating experience, knowledge of the product development lifecycle, the product registration process, marketing platforms, tax regulations, an awareness of non-U.S.

transfer pricing challenges, an awareness of trends/positions of both the tax authority and other multinational pharmaceutical companies, and the ability to develop and dissect complex economic theories.

The role requires analysis and management of complex multidimensional issues utilizing financial and economic analysis and intellectual debate involving discussions with and management of external advisors to establish a defendable and well documented position.

The economic strategy must withstand strong challenge by international tax examiners and external economists and the role must convey the appropriateness of GSK’s policies and secure acceptance of GSK’s economic position.

Managing any questions, audits and/or tax disputes raised by tax authorities as well as build open and transparent relationships with the relevant authorities across the different territories in the region.

This is particularly important given the expectation that cross border tax disputes will arise as a result of the increased transparency measures, enhanced information exchanges as well as use of data analytics recently introduced by tax administrations.

It is important this role also considers the wider tax impacts, such as customs and indirect tax, as well as business impacts and coordinates accordingly to ensure these impacts have been properly considered In consultation with the Head of Transfer Pricing and V.P.

Head of Tax North America, establish, implement, monitor and defend strategies, policies and structures for pricing goods and intellectual property within the Group that maximize GSK’s post tax returns, are defendable and documentable and have an acceptable risk profile.

Lead the defense of transfer price challenges from taxing authorities within North America.

Defending a specific issue or challenge begins with providing timely and accurate responses to the tax authorities in a manner that is consistent with GSK strategies and policies.

These responses are used as a basis for settlement negotiations and as possible evidence in litigation.

Thus, the responses must consider potential scenarios and strategy under negotiations and litigation and must be consistent with GSK commercial practices and to a lesser extent practices within the pharmaceutical industry.

The defense may also include managing, critiquing, and improving economic studies prepared by external economists.

The defense activity will also involve interaction with R&D, manufacturing and commercial teams as well as significant interaction with external advisors (lawyers, economists and accountants) and senior management within GSK.

Defense of transfer price challenges includes: Evaluate, defend and successfully promote alternative supporting economic models, methodologies or outcomes Conduct interviews with scientists, patent attorneys, product marketing managers, business development personnel, Apply industry and commercial practices to pure economic theory, Reconcile multiple economic positions and outcomes of various countries/jurisdictions, Use advanced modeling and analysis to challenge or defend hypothesis, theories or outcomes, Position transfer pricing strategies in a variety of forums, including responses to oral and written queries from tax authorities, and participation in intellectual debate with external economists and international tax examiners, Manage external advisors including attorneys, accountants and economists, and Participate in negotiating sessions with the tax authorities with the objective of reaching a fair and equitable settlement.

Influence, contribute to and support the ongoing development of GSK’s global transfer pricing strategy and methodologies.

Establish, agree and defend appropriate intercompany transfer pricing structures (policies, methods, prices and contractual terms) for area.

Manage, co-ordinate and/or perform economic, functional and financial analysis to enable (1) identification, implementation and documentation of the most appropriate transfer pricing structure, (2) compliance with local transfer pricing documentation requirements and (3) positioning of GSK’s transfer pricing defense strategies under audit and identification of implications of alternative settlement scenarios.

Support Business Development proposals to ensure appropriate ownership aligned with decision making, structuring and positioning of potential comparators (licenses, co-marketing/co-promotion, acquisitions, disposals, etc.).

Build relationships with local and regional commercial management to fully understand the value drivers for key products and terms and value drivers for third party co-marketing type agreements etc.

Direct, co-ordinate or prepare transfer pricing documentation and economic studies to satisfy statutory requirements, defend GSK’s strategies and position, and minimize tax exposures.

Advise/liaise with and support commercial management on all issues effecting transfer prices in the region (restructuring, new product sourcing etc.) to ensure all transfer pricing risks are considered as the network or structure changes.

Pro-actively seek opportunities to improve upon existing entity structures and transfer pricing processes wherever possible.

Through group presentations and individual meetings educate managers on transfer pricing strategies, policies and the associated financial risks.

Basic Qualifications: Specialized Knowledge: Business acumen and knowledge of the pharmaceutical industry would be an advantage.

Comprehensive understanding of
•482 regulations, OECD guidelines and local transfer pricing guidelines and regulations.

Comprehensive understanding of economic and finance theories and practices.

Experience working with a diverse global workforce, including shared service centers Basic requirements: Bachelor of Science or Arts or equivalent.

Ten years of transfer pricing experience.

Preferred Qualifications: Master’s degree or equivalent.

Pharmaceutical and/or healthcare experience.
