Job Description The Wonderful Way: Handle large complex deal work (without outside counsel) at top-tier firm quality with a business-minded approach Act as lead lawyer on M&A and financing deals, responsible from the initial stages of the deal through post-acquisition integration, including structuring transactions, drafting and negotiating agreements, running due diligence, and managing teams of attorneys, paralegals and business people Negotiate and draft documents for a wide variety of complex business transactions involving both domestic and international issues including purchase and sale agreements, joint venture agreements, financing documents, distribution agreements, license agreements, service agreements, supply agreements and lease agreements Structure and document new agreements and relationships with strategic partners Advise business units on corporate and finance matters Qualifications The Wonderful You: 10+ years of broad-based complex transactional experience (including M&A and financings) in a top-tier law firm.

Demonstrated ability to run complex M&A transactions as the lead attorney Experience drafting and negotiating complex deal documents Background with foreign transactions is a plus Experience working as a lead attorney on large and small projects Ability to provide business-minded legal advice to business unit executives Demonstrated excellent judgment, common sense and ability to work well with colleagues and clients Ability to provide top-quality, proactive, accurate and effective legal support in a fast-moving environment with minimal supervision Experience with licensing matters is a plus Strong academic credentials, excellent analytical, organizational, verbal and written skills required.

JD from top tier law school.

Must be a member in good standing of the State Bar of California.
