MORE ABOUT THIS JOB: MORE ABOUT THIS JOBThe Goldman Sachs Legal team seeks to hire a real estate transaction attorney to support the Asset Management Division (AMD) of Goldman Sachs (GS).

In particular, the role will support the Real Estate team within AMD that covers the Americas (AMD Real Estate).

The role will serve as transaction counsel to AMD Real Estate and will focus on real estate acquisition, development, construction, joint ventures, financing, leasing, asset management and disposition across multiple product types in the Americas, including office, multi-family, industrial, hospitality, senior housing, student housing and retail.

Additionally, the role will be involved in compliance with regulatory schemes applicable to real estate investments made by regulated financial institutions such as GS and will work with the business and compliance teams to ensure proper policies and procedures are adopted in connection with regulatory developments.

By way of example, this role will cover term sheets, purchase/sale agreements, joint venture agreements, financing documentation, development agreements, construction documents, all types of leases, broker listing agreements, asset management agreements and property management agreements.

We do not expect a candidate to be expert in all these areas, but rather to be conversant in these areas and able to work with outside counsel.

Our practice is a mix of in-house production and outsourcing to external counsel.

RESPONSIBILITIES AND QUALIFICATIONS: RESPONSIBILITIESDirect interaction with business units regarding a broad range of real estate transactions, asset management and regulatory matters.

Conducting due diligence with respect to potential real estate investments, identifying issues and advising how to address such issuesProviding general legal analysis and strategic advice to the AMD Real Estate teamNegotiating various agreementsIdentifying legal, business and reputational risk and providing risk mitigating strategiesInstructing, working with and managing external counsel and consultantsWorking closely with GS Compliance on various regulatory matters related to financial institutions (as only one example, the application of the Bank Holding Company Act to real estate investments)Working closely with the Litigation Team within GS Legal on various matters of controversy related to real estate investmentsBASIC QUALIFICATIONS No less 4 years post qualification experience at a leading law firm or financial institutionTeam player with inherent commercial judgment and strong analytical skillsStrong oral and written communications skillsHigh level of initiative, integrity, and organizationSignificant experience with the negotiation and preparation of real estate transactional documentation (term sheets, acquisition, disposition, leasing, development, construction, financing, etc.) and joint venture agreements ABOUT GOLDMAN SACHS: ABOUT GOLDMAN SACHSThe Goldman Sachs Group, Inc.
