Los Angeles office of our client seeks transactional associate attorney with 3 years of comparable corporate/commercial transactional or litigation experience.
The candidate will be reviewing and drafting documents for corporate formations, venture financings, fund formations, commercial transactions, state and federal securities filing, and M&A; as well as due diligence on M&A and venture financing transactions.
Experience in, or extensive classwork in, the following practice areas are preferred: Business Planning, Corporate Concentration, Venture Financings, Intellectual Property, Securities Registration, Corporate and Partnership Tax, M&A.
Should have strong computer skills and competency, including document management in both Microsoft and Google platforms.
Knowledge of, or basic proficiency with spreadsheets, with an understanding as to how to run calculations, de-bug and error correct, and/or manipulate and understand items such as financial models, cap tables, financial statements preferred.
Must be admitted to practice law in any of the following states: California, New York, New Jersey, Massachusetts or Georgia.
The candidate should be an intelligent, motivated, high integrity, hardworking associate.
Must be a team player; eager to take on new responsibilities and grow professionally quickly; effective communicator in person and via email, Zoom, and telephone; responsive to emails and phone calls even during off hours; attentive to details; organized; capable of juggling multiple projects and clients; and able to meet deadlines.
Should have a JD degree from ABA approved law school within the top 50% of the class.
