Corporate Securities Paralegal Manager – $120K to $140K plus bonus. Reporting to the VP of Corporate Governance, the Corporate SEC Paralegal will be responsible for comprehensive support of all matters relating to enterprise-wide corporate governance support, SEC filings, legal entity/subsidiary management, and other Legal Department support across the company. This position will collaborate with executive management, board members, external advisors and cross-functional teams spanning internal organizations and other key stakeholder groups. This position will report to the Chief Legal Officer and will be based in the Santa Monica, CA corporate office, with hybrid remote work environment . Duties And Responsibilities Coordinate the collection and distribution of materials for board and committee review in connection with regular meetings and special meetings. Liaison with senior management on agenda/presentation content, logistics, forms and Q&A (strong proficiency in PowerPoint, Word, Excel, MS Office required) SEC filings support – prepare, review and submit periodic reports filed with the U.S. Securities and Exchange Commission, including Forms 3, 4 and 5 for Section 16 reporting compliance. Aid in preparation of the Company’s annual proxy statement, including updating information related to ownership and managing a cross-functional team to drive the proxy statement to completion. Manage deadlines, calendaring/scheduling, presentation dry runs, etc. Gather materials for auditor inquiries and other recordkeeping diligence involving board minutes/materials. Apply strong understanding of general corporate and securities laws applicable to the company. Ability to independently organize and handle projects requiring high degree of confidentiality and supervisory skills and the ability to review, analyze, and compile project results. Act as point person for legal entity registrations, annual reports, licensing, etc. Maintain company organizational chart. Obtain and maintain EDGAR filing codes. Qualifications Bachelor’s Degree with 7 years of hands-on experience working in a corporate legal function, with emphasis on corporate governance and public company reporting requirements. Substantive knowledge of relevant securities and corporate laws and regulations, and legal research skills in order to effectively resolve problems and conflicts A broad knowledge of corporate secretary department practices; ability to resolve issues and make recommendations as they arise. Excellent written and verbal communication skills; ability to deliver information in a clear, concise and solution-oriented manner. Experience dealing with highly confidential information with professionalism and absolute discretion. Familiarity with advanced legal concepts and terminology, format of legal documents, legal research and writing is required.
