Commercial Counsel

As Commercial Counsel for YouTube legal on the Content and Product Partnerships team, you will work on drafting and analyzing a wide variety of film and television digital distribution licenses for YouTube and Google’s growing digital media businesses. This role may also include providing product-related legal support for digital media businesses and a wide cross-section of YouTube transactional work. This may include counseling the YouTube business development team, the product partnerships team, and other key YouTube customer groups on their commercial agreements for such products as YouTube Movies and Shows, YouTube TV, YouTube marketing, and transactional projects for YouTube creators and various content verticals.

Responsibilities

Advise senior management, business clients, as well as finance, product, and other company colleagues on legal issues and risks, agreement structures, company policies and procedures and negotiation strategy.

Review, draft, and discuss intellectual property licences, primarily focusing on film and television content, and a wide range of technology, content and marketing agreements.

Advise Product Management, Engineering and Marketing teams with legal guidance on compliance with license agreements, U.S. and International regulatory matters (including content regulation and consumer protection), approval processes, company policies and procedures, and product development strategy.

Minimum qualifications:

JD degree or equivalent degree.

Admitted to the bar and in good standing or otherwise authorized to practice law in California or New York.

7 years of attorney work experience in business development, intellectual property matters, and contract law.

Experience in film and television distribution, intellectual property/contract law, and contract drafting experience.

Preferred qualifications:

Excellent knowledge of media, online platforms, and intellectual property contract law.

Solid negotiation skills.

Effective project management skills for establishing an agreement.
