Responsibilities include entity formation, drafting board and stockholder minutes and consent, maintenance of corporate records and capitalization tables, option plan administration, “blue sky” research and state and federal filings. Transactional responsibilities may also include due diligence production and/or review, drafting miscellaneous transaction documents, and management of closings. Must be able to handle multiple assignments, work well under pressure, and have the flexibility to assist team in meeting client demands on accelerated schedules. Organizational, analytical and communications skills a must. Must be available to work overtime.EDUCATION AND EXPERIENCERequires 4-year degree and 3 plus years’ experience as a corporate paralegal working with emerging growth companies. Law firm experience preferred. Strong knowledge of Delaware corporate law, federal and state securities laws, option plan administration, venture capital finance and private company strongly preferred. Public company filings a plus.
