VP Board of Director Relations

The purpose of the VP of Board Relations is to serve as a conduit between the Chairman, Board Members, and the Executive Leadership team to enhance the efficiency and effectiveness of essential business interactions among all parties.

This position is a key supporting role with a high level of responsibility and impact and will primarily work with the Chairman, Board and the Executive Team in reporting, planning, scheduling, and organizing projects to keep time and attention focused on company goals, projects, and priorities.

Responsibilities:
· Organize bi-weekly (or more frequent, as circumstances dictate) meetings with the CEO and General Counsel to; o update on status of all inquiries, action items, and deliverables o review any materials that will be sent to Chairman / Board members
· Handle Board member requests for information and serve as one of the primary contacts with the Board of Directors
· Help design and optimize an internal Board-related process, including; o Set an internal production schedule and ensure timely delivery of Board and Committee materials to the Board o Track key action items and business initiatives by monitoring progress toward established goals, ensuring follow-through on the part of responsible parties o Assist current Hertz team with planning of Board and Committee meetings, including potential international meetings o Provide a bridge for smooth communication between the Chairman, Board Members, Company executives and internal teams; demonstrating leadership to maintain credibility, trust, and support with senior management and staff
· Understand company’s operating rhythm, business cycle, and meeting cadence; o Track what will happen each month throughout the year and the meetings or milestone activities that need to occur
· Process development, coordination and facilitation of communications with the Chairman on key strategic issues
· Compile data from departmental reports into one company report for the Chairman; o Support the management team to ensure consistent communication and involvement or decision-making at the proper time o Participate in all Executive Leadership Team (ELT) meetings and monthly meetings with all department heads
· Coordinate with the corporate public relations and investor relations teams to prepare materials for the Chairman’s external speaking engagements; Compile and maintain market research to inform the Chairman on industry trends
· Support the Chairman on special projects and strategic growth initiatives as they arise
· Receive all Board Presentations, Committee Materials, and Chairman Requests by required deadlines;
· Identify and summarize key issues and questions o Status of value creation and transformation initiatives o Commercial initiatives relative to plan o Financial results relative to plan o Circulate Chairman questions back to responsible management team members, set response timelines and ensure all items are addressed o Attend ELT meetings; review and summarize materials with MGO, determine any questions for the ELT, communicate responses and meeting summary from ELT to Chairman o Assist the current Hertz team with Director onboarding, orientation and offboarding Managing Complexity:
· Success in this role will require the individual to plan, prioritize and manage multiple tasks with multiple deadlines
· Delegate responsibility for efficient and time-bound management of activities
· Delegate and/or supervise and coordinate support functions, while ensuring completion of all tasks
