Director & Associate General Counsel, Commercial Transactions (Messaging)

Facebook is seeking a talented, self-motivated and experienced attorney that is excited by taking on and leading a body of complex strategic commercial engagements, thrives in a fast-paced environment and can seamlessly drive success working with multiple cross-functional stakeholders to accomplish bold things. This is a full-time position.In this role, you will be drafting and negotiating a wide variety of contracts for strategic messaging relationships, including development and distribution agreements, IP transactions, technology licenses, and beta and prototyping agreements. You will also advise executives on the various legal risks, business strategies and other issues related to commercial transactions and general operations. Candidates must be flexible, and willing to travel and work extended hours when necessary, to complete projects in a timely fashion.
  • Contract drafting, negotiation and advisory responsibilities.
  • Provide strategic business and legal advice to business, product and engineering executives to develop a comprehensive, long-term approach to our relationships with key partners.
  • Commercial transaction support for other departments as required.
  • Administration and resolution of legal issues that arise in existing commercial relationships.
  • J.D. degree (or foreign equivalent) and membership in at least one US state bar.
  • 12+ years of legal experience.
  • Experience negotiating major strategic transactions.
  • Demonstrated legal and business judgment, technical acumen and strategic thinking, along with experience working independently and cross-functionally.
  • In-house experience with internet or technology companies and/or at a law firm.
  • Experience with complex technology transactions with mobile operators, OEMs, infrastructure and other hosted services providers, and/or social networking platforms.
