Objective

Assume contract management responsibilities for large ( >50M$) and complex Joint Venture project : prime responsibility for communications with Customer, JV partners and suppliers/subcontractors; handle issues involving drafting and negotiation of changes to contract and/or subcontract terms and conditions as well as variation orders and both offensive and defensive claim actions: T&Cs, payment terms, warranties and guarantees ; research and consolidate all required inputs, including costs; support General manager as a strong contributor to the project team

Responsibilities

– Analyze and interpret contract terms and conditions and establish clause by clause comments and contract summary for assigned contracts
– Advise General manager (GM) and other team members on Contract interpretation and all issues related to Contract performance to protect Alstom’s (Joint Venture) interests and mitigate risks to the maximum extent possible
– Act as commercial liaison with Customer; analyze for the GM all incoming correspondence and prepare and/or review all outgoing correspondence.

– Prepare the monthly report(s) and minutes of meetings
– Close coordination with Finance and tracking of financials both up and down the chain.

– Monitor issues and recognize potential problems at an early stage, maintain a logbook and records to ensure that possible problems, delays, changes and other occurrences related to project performance are promptly identified, recorded and documented; lead periodic reviews, and coordinate actions.

– Together with General Manager, project engineers and controller, prepare, build case (facts and contractual/legal grounds) and participate in negotiations for variation orders and claims
– Issue variation requests and validate variation orders
– Maintain data file to ensure mandatory notice requirements to customers and subcontractors are met and manage follow-up actions
– Subcontract management for critical subcontractors; flow-down and conflicts resolutions.

– Contribute to conflict resolutions and participate in risk management process
– Act as the focal point to log, track/manage and drive to resolution all contract non-compliances
– Must be able to travel
– Perform other related duties as assigned

Educational Requirements

– Bachelors degree (B.

A.) from four-year college or university; or equivalent combination of education and experience. 
– JD or other advanced degree is not required.

Professional certification (e.g., CPCM, CCCM, CFCM) also not required.

– Bilingual English-French, an asset but not required.

Skills & Experience 

– Superior drafting and communication skills are a must.

– Experience in management of detailed and/or complex project-type contracts for aerospace/defense, railway or other major industry (minimum 5 years)
– Experience with upward (Customer) and downward (Suppliers) management of contracts as part of a Public Private – Partnership (PPP) or large Joint Venture/Consortium
– Proven leadership and conflict resolution skills
– Strong analytical, problem solving and critical thinking skills
– Strong organizational and time management skills
– Excellent communication skills
– Microsoft Office experience
