What you’ll be responsible for:.
Building and scaling a corporate team from the ground up for an innovative company while working in a new and massively expanding industry, with a focus on M&A, corporate development transactions and securities law.
You will partner with the Assistant General Counsel, Corporate Governance, and will be expected to work on all things corporate inside the company and with our outside counsel as Circle transitions into becoming a public company..
What you’ll work on:.
Providing oversight and legal advice with respect to the Company’s global M&A transactions, including but not limited to, structuring transactions, managing the team’s drafting and reviewing of agreements, overseeing the due diligence process, and overseeing and managing post-closing activities and engaging with outside counsel..
Designing and building a strategic corporate development playbook, to include transaction processes and procedures to increase the efficiency of the legal services provided to the company in relation to M&A and other corporate transactions..
Engaging with senior business and functional leaders to drive deal structuring and issue resolution..
Advising on SEC filings and other corporate regulatory filings, including periodic reports such as the annual proxy statements, 10-K, 10-Q, 8-K and Section 16 reports/filings, as well as compliance with NYSE’s listing and governance requirements..
Drafting and helping prepare M&A/transactional/securities related board and committee meeting materials..
Providing legal support for corporate finance and securities transactions at Circle as well as investments in other crypto and/or fintech companies..
Supporting initiatives and functions including public company readiness and investor relations..
Addressing legal risk in business-centric ways, and developing strategies to solve problems, strengthen partnerships, and advance opportunities..
Formulating and driving strategy with outside counsel..

What you’ll bring to Circle:.
Juris Doctor degree and active law license in at least one state in good standing..
10+ years M&A and securities law experience, ideally in both law firm and public company in-house settings..
Experience with designing and building a strategic corporate development playbook in facilitating the evaluation, management and successful completion of M&A and other corporate transactions..
Familiarity and experience with SEC and exchange listing rules and filings preferred, as well as other M&A-related rules and regulations..
Organization, attentiveness, a strong work ethic, and the ability to thrive in a fast-paced work environment and manage numerous projects simultaneously under deadline pressure..
A solution-oriented and pragmatic approach in legal and transactional advice..
Flexibility and willingness to roll up sleeves to take on different types of projects in a quickly scaling company in order to support the broader legal team as needs arise..
Experience in supervising and coordinating outside legal counsel and other advisors.
Excellent interpersonal, written and oral communications skills..
Intellectual curiosity with cryptocurrency, blockchain, and stablecoin technology..
Proficiency in Google Suite, Slack and Apple MacOS preferred..
