Job Description:
The Counsel will join the Employment Legal Team, that consists of a small, collaborative group of attorneys and other professionals across the globe who share responsibility for advising Endeavor and its various diverse business units on employment-related matters. The primary focus of this role is compensation and benefits, and the selected candidate initially will have responsibility for negotiating employment contracts with critical Company personnel and related matters. The role also will provide advice and counsel to the Company’s business operations in the United States. The position presents a great opportunity for an attorney interested in the intersection of employment and corporate laws with the operations of a global, publicly traded company with diverse resources, businesses and personnel. This is a full-time position and will report to the VP & Associate General Counsel.
Responsibilities:
Provide legal advice on our compensation and benefits matters, working closely with business unit leaders, Human Resources, Finance, Accounting and Tax teams, legal colleagues and external advisors. Serve as principal counsel to one or more business units on these matters.
Draft, negotiate and review documents related to executive compensation arrangements (such as employment, equity incentive award, retention and separation agreements).
Provide legal advice (and synthesize it with finance, accounting and tax considerations) on the design and operation of executive compensation arrangements.
Support the preparation of executive compensation-related disclosures (such as proxy statements and Section 16 filings) and benefits-related reporting.
Provide legal support on compensation and benefits matters in connection with corporate transactions (such as acquisitions, dispositions and joint ventures).
Perform other tasks, projects and responsibilities as assigned, to include advice and counsel on employment-related legal matters across the United States.
Qualifications:
Juris Doctor from an accredited law school, and 5+ years of experience.
Admitted to practice law in the state in which attorney is located (or licensed in another state, but eligible to practice in the state in which attorney is located as registered in-house counsel).
Employment law experience, with specific prior experience in compensation and benefits, equity, securities law and/or employment tax with a corporate legal department or law firm. Experience with public companies is a plus.
Excellent oral and written communication skills, including the ability to relay complex information concisely.
Ability to consider business needs, along with legal requirements.
Ability to collaborate and build effective, trusted relationships across a large organization.
Ability to work independently and proactively in a fast-paced environment.
Strong project management skills.
