Corporate Paralegal

Law firm is seeking a Corporate Paralegal to support their attorneys.

Responsibilities:

  • Prepare (and file, as applicable) organizational documents, foreign state qualifications, merger certificates, resolutions and UCC financing statements for corporations, general and limited partnerships and limited liability companies
  • Obtain good standing certificates, certified documents and UCC and other lien searches from state agencies
  • Prepare various documents related to transaction closings and coordinate execution of same
  • Prepare post-transaction closing binders
  • Prepare and maintain stock and option ledgers and related governance records (e.g. minutes, certificates, powers)
  • Prepare and file annual reports in states where corporations, partnerships and limited liability companies are incorporated, organized or formed and/or are qualified to do business
  • Assist in due diligence review, data room management and related organizational matters
  • Prepare documents, checklists and spreadsheets for transactions such as financings, mergers conversions, dissolutions and acquisitions
  • Prepare and obtain Federal Employer Identification Numbers with the IRS
  • Maintain corporate files and databases
  • Perform electronic research using internet-based research tools
  • Communicate regularly with attorneys regarding the status of projects and deadlines, and inform attorneys of any issues

Qualifications:

  • Bachelor’s degree preferred
  • Paralegal Certificate required
  • Minimum of two years’ corporate experience at a law firm required
  • Knowledge of various IRS filings (s-elections, q-sub elections, etc.) preferred
  • Basic knowledge of ownership and management structures and formation process for LLCs and corporation
  • Demonstrated proficiency in Word, Excel, PDF-based programs, Outlook, PowerPoint
  • Familiarity with Secretary of State databases, particularly California and Delaware
