Summary of Job:

The Corporate Counsel, Securities attorney will work closely with the company’s senior leadership, the General Counsel and the broader legal team supporting securities transactions and financing activities.

The primary function of this role will be to support the securities reporting obligations for the company and ensure compliance with all securities rules and regulations.

Key focuses:
Provide legal and compliance support on securities and corporate finance related matters; partner with the finance department to ensure compliance with all SEC and NYSE regulations Play a key role in corporate capital markets, M&A, and commercial transactions; support strategic transactions, including conducting and/or facilitating due diligence, drafting and negotiating transactional documentation, and advising on a wide array of legal issues Prepare public disclosure documents, including Forms 10-K, 10-Q, 8-K, proxy statements, Section 16 reports and/or filings, and other SEC and NYSE filings and reports Support the annual stockholder meeting process, including preparing D&O questionnaires, coordinating proxy solicitor, transfer agent, and proxy mailing activities as well as meeting logistics Assist with corporate governance and the Corporate Secretary function, including coordination, preparation and distribution of agendas, resolutions, consents, minutes, and other materials for the Board of Directors and committee meetings Assist with investor matters, including review of announcements, press releases, investor presentations and other investor communications Assist in developing and maintaining policies and procedures to ensure compliance with Sarbanes-Oxley, NYSE regulations, SEC regulations and other regulations applicable to public companies Assist with oversight of equity administration and advise on equity grant matters Work collaboratively across functions throughout the company, and with outside counsel, as needed, to provide advice and direction on issues relating to , intellectual property, sales, marketing, and commercial contracts Help to establish, implement, and encourage compliance with policies and procedures (including by providing periodic training to functional teams) to improve quality and efficiency of business and legal functions Pitch in on whatever legal work needs to be done when it needs to be done
Minimum Requirements:
5+ years of experience successfully managing general corporate and securities related matters, including significant experience advising clients on public company reporting and compliance matters, as well as corporate governance matters Excellent written and oral communication skills, ability to work across functional areas, and sensitivity to business priorities Be organized, efficient and resourceful with strong follow-through abilities Be able to simultaneously manage workloads, multiple client demands and shifting priorities within a rapidly moving environment Curiosity to learn more about a broad spectrum of various legal and business issues relevant to ZipRecruiter Team player who can handle a diverse group of thinkers and doers Licensed to practice law in the State of California Ability to interact comfortably with executives and senior management Ability to manage multiple internal stakeholders and balance differing perspectives
