AGA Legal Staffing: Corporate Paralegal

Key ResponsibilitiesCorporate records management for multiple entities, including drafting minutes and resolutions, keeping corporate minutes books and agreements updated and organized.Corporate veil maintenance, including auditing of systems and checks and balances on intercompany transactions.Create protocols, processes and procedures to ensure financial and capital transactions are carried out properly.Updating leadership with timely analysis and summaries of new legislation/regulations affecting the businessAssists in implementing changes to contracts to comply with legislation/regulationsResponsible for support related to litigation, mediation, arbitration, and responses to complaintsRenewing and maintaining company licensingDrafting, filing, and managing various business entity documents for corporations, LLCs, and partnerships with State agencies.Assist with the identification and summarizing of relevant issues; continually monitor issues and update attorney, as appropriate.You may handle executive summaries and directives and may assist with company compliance issuesThis function will also be responsible for legal management systems, including implementation and administration, and other specific business legal needs, like budgeting and resource managementThe successful candidate will attend corporate meetings, maintain all corporate records, and prepare corporate resolutions, log board minutes, and other similar corporate itemsSkills & QualificationsBachelor’s degree strongly preferred7 years of experience in an attorney or Paralegal role.Must have excellent computer skills and be able to demonstrate proficiency with MS Office products (Word, Excel, PowerPoint, etc.).

Self-motivated with the ability to work in a fast-paced office environment and able to manage multiple projects simultaneously.Maintain an eye for accuracy, attention to detail and commitment to excellence are critical.Due to sensitive nature of this position, a demonstrated ability to maintain the highest levels of confidentiality, integrity and discretion is critical.
