Corporate & Investment Banking delivers a comprehensive suite of capital markets, banking, and financial products and services. A trusted partner to our clients, we provide corporate and transactional banking; commercial real estate lending and servicing; investment banking; equity; and fixed income solutions including sales, trading, and research capabilities to corporate, commercial real estate, government, and institutional clients across the globe.

Community Lending and Investment (CLI) is responsible for investing debt and equity capital for economic development, job creation and affordable housing in areas of need nationwide.  The vertically integrated group offers a suite of debt and equity products, including Low Income Housing Tax Credits, New Market Tax Credits, construction finance and permanent finance for affordable housing, and Charter School Finance, serving for-profit and non-profit developers and other organizations.

The Senior Deal Manager will primarily be accountable for transaction negotiation and substantive review and coordination of legal and due diligence documentation for Low Income Housing Tax Credit (LIHTC) equity and construction lending transactions in Community Lending and Investment (CLI).

Responsibilities for this position include, but are not limited to:

  • Day-to-day management of all transaction participants, including customers, internal and external financing sources, tax credit programs and authorities, outside counsel and third party due diligence and service providers
  • Negotiating and structuring equity and construction lending documents and understanding of LIHTC investment tax implications
  • Working closely with the internal Legal Department when necessary and managing outside counsel
  • Partnering with underwriting, management and Credit to structure and negotiation of deal terms with customers and third party lenders/agencies, identifying and mitigating business and legal risk and contributing to approval packages/meetings
  • Integrating CLI debt and equity platforms with respect to documentation standards and maintenance
  • Leading regular all-hands calls with clients, counsel, agencies and third party lenders

There is emphasis on proactive monitoring, governance, risk identification and escalation, as well as making sound risk decisions commensurate with the business unit’s risk appetite and all risk and compliance program requirements.

Required Qualifications

  • 10+ years of experience with Low Income Housing Tax Credit (LIHTC) transactions (debt or equity), New Markets Tax Credits (NMTC) experience, a portion of which may be comprised of non-affordable real estate lending/investing documentation and structuring experience, or a combination of both
