Description
JOB SUMMARY

Member of the Bank’s Legal Department, providing analysis and counsel on legal and policy issues in the Bank.

Lead attorney responsible for providing legal support for the Bank’s loan portfolio.

PRINCIPAL RESPONSIBILITIES AND DUTIES

Assists in performing the following, or performs subject to supervision and review:
Drafting and/or reviewing documentation for commercial and real estate loan transactions, loan syndications and participations, construction loans, letters of credit and other credit-related services.

Supporting and advising business line, loan documentation departments and management on loan documentation and loan structuring matters.

Negotiating loan documents with opposing counsel.

Drafting, maintaining and enhancing template credit related agreements based on industry and legal best practices.

Staying informed of legal and industry developments, participating in peer bank meetings, and advising management and lines of business on evolving best practices.

Identifying and evaluating compliance and other regulatory matters related to credit transactions.

Supporting Special Assets Department in handling of loan defaults and workouts.

Assisting in the negotiating and drafting of Bank leases.

Performing other legal-related duties for the Bank as assigned by General Counsel and based on career growth interests.

Position Requirements
Qualifications:
Juris Doctor from an accredited law school Minimum 5 years experience representing financial institutions in secured and unsecured commercial loan transactions.

Familiarity with various forms of commercial/real estate lending and lending related documentation, including cash flow lending, acquisition finance, asset-based loan transactions, loan participations, security agreements, guaranties, subordination agreements, SNDAs and lease estoppels.
