Michelman|Robinson LLP, a mid-size national law firm, is seeking highly qualified Paralegal with a flexible and a positive approach to their work, a welcoming demeanor, and ability to provide service to a collaborative team of Attorneys.
The Corporate Paralegal will support attorneys in our Los Angeles Office on a broad range of general corporate matters.
This position will play a key role and provides an excellent opportunity for a highly motivated and experienced paralegal to become part of a collegial and collaborative legal team.
This department relies heavily on the Paralegal’s experience and judgment to plan and accomplish goals.
A wide degree of creativity and latitude are expected.
Responsibilities:
Maintain corporate compliance for current and acquired legal entities Manage foreign qualifications and good standing requirements File annual reports and other documents Assist with internal reorganization of entities as required Maintain board, shareholder and committee records Keep all minute books, corporate seals, etc.
Assist with issuance of stock certificates Assist with shareholder records Assist with preparing SEC filings, including proxy statement.
Coordinate back-up collection process for proxy data Assist with company formations and dissolutions, restructurings, mergers and acquisitions and alliance transactions File claims for unclaimed assets Organize documents in connection with closings Prepare closing binders Perform due diligence Review, analyze and organize voluminous documents
Qualifications:
Minimum 5 years of experience as a paralegal in a corporate practice ABA approved Paralegal certificate required, undergraduate degree preferred Excellent reasoning and time management Highly organized and superior attention to detail Polished written and oral communication skills Well-developed sense of collegiality and team-mindedness Able to juggle and prioritize multiple projects in a dynamic, fast-paced environment Able to read and interpret basic corporate transaction documents Proficient in legal research (Westlaw, Lexis Nexis, etc.) Generally familiar with a wide range of legal matters including corporate, real estate and regulatory governance Highly skilled in standard office software (Word, Excel, Outlook, PowerPoint, etc.) and able to quickly adapt to new technologies deployed across the firm to drive efficiencies
Successful candidates must be proactive, customer service oriented, supportive, detailed, reliable, and have satisfactory references and background check results.
