Tax Director

nnWe are looking for a Director of Tax to join our team.

which will be involved (i) primarily in thenn nnplanning, research, and execution of various real estate transactions as well as (ii) have oversight over thenn nntax reporting function and the firm’s outsourcing team.

The successful candidate will possess significantnn nntransactional experience and a strong knowledge of: (i) real estate partnership taxation, (ii) REIT taxationnn nnand (iii) FIRPTA.

This position reports to the Senior Vice President of Fund Operations and will be workingnn nnclosely with senior management team.nn nn n nn nnKey Responsibilities:nn nn
• Identify and resolve various tax issues related to the acquisition, ownership or disposition of ann nnproperty or portfolio investment.nn nn
• Coordinate entity due diligence and third-party REIT due diligence reports, where necessary, onnn nnproperty or portfolio acquisitions.nn nn
• With respect to each acquisition, review any purchase and sale agreements and all other relatednn nntransaction documents.nn nn
• Review partnership agreements with specific attention to tax allocation provisions and other relatednn nntax provisions.nn nn
• Quantify and communicate the tax risks associated with business transactions to senior managementnn nnin order to facilitate their decision-making process.nn nn
• Identify and analyze tax deferral strategies where appropriate and determine their feasibility tonn nnimplement.nn nn
• Work with advisors to structure various U.S.

and international real estate funds and joint ventures tonn nnfacilitate the inflow of capital by diverse groups of U.S.

and non-U.S.

investors and to assess theirnn nnpotential U.S.

tax impact for the company and these investors.nn nn
• Coordinate and review tax advice and/or opinions from external accounting and law firms, includingnn nnnegotiating firm representations.nn nnManage and overseeing a third party outsourcing team that performs all of the tax reporting aspects of internal tax function.nn nn
• Coordinate REIT quarterly and annual testing.nn nn
• Liaise with internal teams and external advisors to assure the proper tax accountingnn nntreatment of business transactions.nn nn
• Review newly enacted tax legislation applicable to the real estate industry, particularly in the areas ofnn nnpartnerships, REITs, inbound and outbound investments.nn nn
• Attend seminars and conferences; build and manage relationships within the real estate industry and tax field.nn nn n nn nnQualifications:nn nn2-8 years with either a JD or CPA transaction focused real estate taxnn
