Position Summary Under general supervision and according to established policies and procedures provides legal/general support to the attorneys in the U.S. Corporate practice group and capital markets subgroup. Must be familiar with general corporate and securities transactions, including mergers and acquisitions, private and public issuances of securities and making federal and state securities filings. Should be comfortable with following and observing established policies and guidelines. Must maintain positive contact with attorneys (both the company’s and outside counsel), support staff, and vendors. Observes confidentiality of all matters. This position is not limited to the functions and skills listed on this description and responsibilities may be revised as needed. Essential Functions Experience with formation of corporations, limited liability companies and limited partnerships, including preparation of formation documents, bylaws, organizational minutes and obtaining EIN’s; General experience in completing and managing due diligence projects related to corporate transactions; Familiarity and general experience with blue sky research, obtaining SEC EDGAR access codes, preparation of Form D filings and documents required for state securities filings through the EFD system; Experience with completing SEC filings via EDGAR, including Section 16 filings, Form 8-K filings and familiarity with managing EDGAR codes; Ability to draft corporate resolutions and written consents to support corporate transactions and other corporate governance actions such as appointing officers and directors and entering into material agreements; Experience in the preparation of documents in connection with transactional closings such as secretary and officer certificates, closing agenda, obtaining good standing certificates and certified charter documents; Experience with the preparation and filing of corporate filings and UCC financing statements at the state level; Ability to track and maintain multiple entities, minute books and other corporate records; Ability to prepare initial drafts of basic corporate documents and various agreements and prepare closing checklists; Experience with qualifications, mergers, conversions, dissolutions, withdrawals, and preparation of documents required for each, including review of relevant statutes to determine requirements in each jurisdiction; Experience with obtaining lien and judgment searches, helping to determine proper location for searches, and summarizing search results as needed; Highly motivated and a self-starter; Good organizational, writing, and proofreading skills; Ability to work and learn independently, meet deadlines; and Ability to interact well with attorneys, co-workers and clients. Requirements Education: Undergraduate degree and paralegal certificate required; will consider candidate with comparable relevant experience in lieu of a paralegal certificate. Experience: Paralegal with at least five (5) years of corporate & securities experience, preferably with a large law firm. Skills: Excellent verbal and written communication skills as well as the ability to work with individuals at all organizational levels. Ability to organize and prioritize issues and workload. The ability to work on projects independently or with little supervision. Flexibility and ability to adapt to constantly changing priorities. Exercising independent judgment and initiative. Other Pay Range: $95,000 – $118,000 . This represents the presently-anticipated low and high end of Reed Smith’s pay range for this position. Actual pay may vary based on various factors, including but not limited to location and experience. Supervisory Responsibilities: None. Communicate with various personalities at all levels. Working Conditions: Hybrid working environment with the willingness and capacity to commute into the office and off site locations may be needed.
