KARL STORZ is currently seeking an Ethics and Compliance Specialist, Anti-Bribery and Anti-Corruption (‘ABAC Specialist’), who will participate in designing, implementing, and maintaining KARL STORZ’s anti-bribery and anti-corruption (‘ABAC’)/foreign corrupt practices (FCPA) programs. The ABAC Specialist’s responsibilities spans KARL STORZ’s business activities in the Americas and will have ties to other KARL STORZ entities globally as well.

As a compliance leader, the ABAC Specialist is responsible for designing and implementing appropriate standards, processes and procedures to ensure that the Company’s ABAC/FCPA compliance program is effective and efficient in preventing, detecting, and responding to potential instances of violations of law or policy, and/or unethical conduct.

Responsibilities:

Responsibilities will include, but may not be limited to:

Commitment from Senior Management and a Clearly Articulated Policy Against Corruption

  • Champions the Company’s strategic and tactical efforts to continue to promote a culture of legal and policy compliance and ethical conduct – including a culture of openness, transparency, and speaking up.
  • Encourages a proactive approach to ABAC compliance that is focused on partnership, prevention and risk mitigation.
  • Develops periodic communications from management to help reenforce management’s strong, explicit, and visible support and commitment to the Company’s corporate policy against violations of anti-corruption and anti-bribery laws and its compliance code.
  • Raises awareness of the ABAC program and fosters accountability for ethics and integrity throughout the organization.
  • Fosters a continuous improvement mindset and proposes enhancements to the program informed by industry trends and best practices.

Code of Conduct and Compliance Policies and Procedures

  • Reviews the Company’s compliance code of conduct as it relates to anti-corruption and anti-bribery compliance.
  • Develops and reviews specific policies related to anti-corruption and anti-bribery compliance to determine their sufficiency and to determine whether additional policies and procedures should be adopted.
  • Reviews the current internal control environment to ensure that the controls in place are designed to prevent violations of the anti-corruption and anti-bribery policies, procedures, and laws. Such review will include an assessment of whether the controls are reasonably designed to mitigate identified risks and to ensure that fair and accurate books and records are maintained, that necessary authorizations have been obtained, that unauthorized transactions are not conducted with sanctioned locations or parties, that transactions are executed in accordance with management’s approval (including segregation of duties), and that access to the Company’s assets is permitted only in accordance with management’s authorization (e.g., ensure that money and merchandise are not embezzled and/or used to pay bribes).

Oversight, Autonomy, and Resources

  • Ensures the Company has assigned responsibility to one or more senior corporate executives of the Company for the implementation and oversight of the Company’s compliance code, policies, procedures, and controls as they relate to anti-corruption and anti-bribery compliance.
  • Develops proper reporting lines for the ABAC compliance function.

Risk Assessment

  • Working with the KARL STORZ Management Compliance Committee, ensures the creation and periodic review of the ABAC risk profile, including coordinating internal resources and retaining external consultants.
  • Maintains understanding of laws and regulations, enforcement actions and evolving practices relevant to compliance and proposes updates to the compliance program, as appropriate.
  • Participates in industry associations and events as appropriate to raise the profile of the ABAC compliance program and the Company.

Training and Communications

  • Develops and oversees ABAC compliance training, communications, and educational strategy, curricula, and tactical plans.
  • Works with the CO to regularly provide senior executives with reports and analyses of the ABAC compliance status globally.

Employee Speaking Up

  • Ensures that employees have various options through which to ask legal, policy, and ABAC-related questions, disclose potential conflicts of interest, and report suspected wrongdoing, including an anonymous reporting mechanism.

Case Management and Investigations

  • Directs and oversees the management and handling of ABAC compliance matters submitted through various ethics and compliance speaking-up channels.
  • Works collaboratively with cross-functional leadership to triage, prioritize, and manage ABAC matters submitted by employees.

Auditing and Monitoring

  • Working with other departments (e.g., Legal and Internal Audit) as appropriate, oversees and coordinates the development and implementation of monitoring and auditing plans designed to mitigate risk and to ensure company ABAC functions/activities are in compliance with applicable laws regulations, industry codes and company policies.
  • Oversees and coordinates with auditing and monitoring compliance professionals to ensure the robust auditing and monitoring of departments, functions, services, and vendors, in line with ABAC compliance program needs and global impact.
  • Specific responsibilities include overseeing the auditing and monitoring of programs and controls related to:
  • mitigation of potential legal, ABAC compliance risks to the organization;
  • protocols, guidelines and associated internal communication related to compliance testing and monitoring;
  • interactions with healthcare professionals and institutions, including, for example, conducting monitoring visits with field-based employees, and attending various company-sponsored activities to monitor and promote ABAC compliance with laws, regulations, industry codes of conduct, and company policies;
  • suspected areas of non-ABAC compliance and collaborate with ethics & compliance investigation and remediation teams as necessary; and
  • remediation plans.
  • Works with the CO to develop and deliver quarterly and ad hoc reports and presentations summarizing ABAC auditing and monitoring activities.

Third Party Risk Management and Payments

  • Responsible for ensuring that appropriate standards, procedures and controls are in place to manage ethics and compliance risk throughout the lifecycle of third-party relationships, including programs and controls related to:
    • Fair bidding practices
    • Vendor selection
    • Screening / vetting (including debarment screening)
    • Contract management
    • Third party code of conduct
    • Certification and training
    • Financial controls related to employee expenses
    • Transaction monitoring
    • Verification and updates
    • Reporting and analytics
    • Ongoing monitoring and auditing
    • Contract termination
  • Responsible for overseeing the system and methodology for conducting risk-based third-party due diligence and ongoing monitoring.
  • Review the Company’s process for screening parties to transactions and handling and resolving possible matches of such parties against relevant government restricted or denied parties lists.
  • Ensure there is segregation of duties for third party retention, invoice approval, and payments.
  • Oversee and review third party contracts to ensure they include protective measures such as: anti-corruption, sanctions, and anti-money laundering clauses; term limitations; certifications; and audit rights.

Continuous Improvement

  • Oversees the identification of ongoing ABAC compliance-related trends and regulatory issues and takes appropriate action to mitigate liability and ensure remediation as appropriate.
  • Performs other administrative and corporate duties upon request.

Requirements:

Our successful candidate will have excellent written and spoken business communication skills. They will also have demonstrated success working in a collaborative, service-oriented team environment.

  • Bachelor’s degree; J.D. preferred
  • Minimum of 10 years’ relevant work experience
  • Certified Compliance and Ethics Professional (CCEP) or Certified Health Compliance (CHC) or similar designation (such as a Certified Public Accountant (CPA) or Certified Fraud Examiner (CFE).
  • Strong knowledge of US standards related compliance such as FCPA, OIG and DOJ guidance
  • Excellent written, oral, and interpersonal skills with personnel at all levels
  • A high degree of integrity, initiative, and motivation

Preferences:

  • Proficiency in Spanish and / or Portuguese
  • Technical background in medical devices
  • Knowledge and understanding of the following:
    • FDA Pre-Market and Post Market Guidance
    • HIPAA Privacy and Security Laws and Regulations, Cybersecurity standards
    • EU standards – GDPR, NIS Directive, Common Criteria
  • Able to support required cybersecurity recommendations with fact-based explanations that business partners can understand
