DIRECTOR OF CONTRACTS & COMPLIANCE A/E/C
A world-class professional services firm providing architecture, design, planning, and research to an elite group of clients, headquartered in downtown Los Angeles is seeking a dynamic, and results-driven individual to lead its Finance & Accounting function.
The Director of Contracts & Compliance (DCC) provides oversight in the areas of compliance and contract management and is responsible for collecting, analyzing, tracking, reporting data, and administering contracts on a regular basis in a timely and accurate manner.
This position will report directly to the Chief Financial Officer of the Company.
Key Responsibilities:
Identify contract initiation, review, and execution, and maintenance process improvements, obtain Executive Management approval of changes to process and implement improvements, as needed.
Manage risk through careful consideration of each client contract’s terms and conditions to prevent accepting unnecessary risks.
Review and manage sub-consultant contracts and manage associated risks.
Coordinate with outside law firms as well as insurance carriers in managing claims and reviewing contracts.
Manage one staff and prioritize workload in achieving the overall goals of the Company.
Prepare updates to monthly litigation reports and provide them to the CFO prior to each monthly meeting.
Interpret and draft contractual language for the agreements while incorporating legal and business concepts.
Must have an eye for detail and can work in a fast-paced environment while juggling multiple priorities.
Analyze contracts, conduct research, and respond to complex questions on provisions of specific agreements.
Keep key players current with agreements, perform regulatory filings, and manage business licenses and copyright/trademark filings.
Serve as contracts manager by maintaining databases of agreements and documents, advising the company of contractual obligations, leading the charge in the timely execution of documents, and accessing agreements across the company.
Provide legal support to team members for issues as they arise.
Assist with insurance-related matters, including, securing COIs as required.
Serve as the liaison with third-party vendors, including insurance brokers.
Ensure that the company’s corporate policies and directives are vetted and incorporated into contractual documents.
Determine whether contract requests that vary from the established standards can be accepted or will require additional authorization.
Direct business colleagues in obtaining any necessary approval(s) for non-standard contractual requests made by a client.
Monitor the approval(s) from the appropriate subject matter experts and release the agreement when all approvals are received.
Upload all signed agreements to contract management system; update, maintain and ensure the accuracy of the contract management system
Assist staff with various contract-related projects, and handle all administrative aspects of contract processing.
Work closely with project teams on all revisions to contract templates.
Evaluate pertinent business and contract requirements and integrate complex negotiation terms leading to the establishment of appropriate terms and conditions.
Provide information resources and guidance on assessment and compliance issues to all members of the company.
Serve as assessment and compliance contact person and representative for the company.
Develop, initiate, maintain, and revise policies and procedures for the general operation of the compliance program and its related activities to prevent illegal, unethical, or improper conduct.
Monitor, and as necessary, coordinate compliance activities of other departments to remain abreast of the status of all compliance activities and to identify trends.
Required Qualifications:
Candidate must have excellent verbal and written communication skills, including demonstrated ability to proficiently draft agreements, demand letters, and other legal documents as needed.
Must have a minimum of 10 years of paralegal and/or contract administration experience.
Independently prioritize, organize, coordinate, and handle multiple tasks with set deadlines.
Strong and wide-reaching comprehension of compliance and assessment issues and mandates.
Excellent organizational and time management skills.
Excellent problem solving and critical thinking skills.
Excellent interpersonal skills, including mediation, coaching, negotiation, common sense, and good judgment.
Demonstrated ability to work cohesively within a management team, exhibiting a progressive attitude.
Practice a high level of confidentiality and exemplary personal and professional conduct.
Able to adapt to a changing set of responsibilities, directives, schedules, and assignments.
Expertise in Outlook, Word, Excel, PowerPoint, and database systems.

Education Requirements:
Bachelor’s degree in business or equivalent experience.
Paralegal certification or equivalent experience.
